Terms of Service

The rules that govern use of Seatly for venue operators, staff, and ticket buyers.

Effective date: August 20, 2026

Agreement to these Terms

These Terms of Service (“Terms”) govern access to and use of the Seatly ticket-booking platform operated by Seatly Inc. (“Seatly,” “we,” “us,” or “our”), including our websites, apps, dashboards, and related services (the “Services”).

By creating an account, browsing events, making a booking, or otherwise using Seatly, you agree to these Terms and our Privacy Policy. If you are using Seatly on behalf of a business, you represent that you have authority to bind that business to these Terms.

The Services

Seatly provides software for seated venues to create seat layouts, publish listings and showtimes, manage availability, and sell tickets. Guests may browse public event pages, select seats, and complete checkout as guests or registered customers.

Seatly is a technology platform. Unless we expressly state otherwise, the venue operator (not Seatly) is the seller of tickets and is responsible for the event, seating, admission, refunds, and customer-facing event policies.

Accounts and eligibility

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

Business workspaces may add staff users. Workspace owners are responsible for permissions granted to their team and for content published under their account.

Venue operator obligations

If you operate a venue on Seatly, you agree to:

  • Provide accurate venue, listing, pricing, session, and seat-map information
  • Honor valid bookings made through Seatly for seats you marked available
  • Handle guest communications, admission issues, cancellations, and refunds according to your published policies and applicable law
  • Comply with payment-provider requirements (including Stripe) and tax obligations in your jurisdiction
  • Not use Seatly for unlawful events, fraudulent sales, or content that infringes others' rights

Guest and customer obligations

If you book tickets through Seatly, you agree to:

  • Provide accurate contact details needed for booking confirmation and support
  • Pay the stated price using an authorized payment method, or complete bank-transfer instructions where offered
  • Follow the venue's house rules, entry requirements, and any age or capacity restrictions
  • Not attempt to scrape, overload, reverse engineer, or interfere with the Services or seat inventory

Ticket transfers, exchanges, and refunds are governed by the venue unless Seatly states otherwise for a specific product feature.

Payments, plans, and fees

Venue operators may subscribe to Seatly plans with the features and limits described at signup or on the pricing page. Fees, billing cycles, and plan changes are shown in your workspace billing settings or at checkout for upgrades.

Ticket payments may be processed by Stripe or another integrated provider, or via bank transfer with proof of payment for venue approval. Chargebacks, failed payments, or unpaid bank transfers may result in cancelled bookings.

Taxes may apply based on your location and the venue's configuration. You are responsible for amounts due under your selected plan and any applicable taxes.

Acceptable use

You may not:

  • Violate any law or third-party right
  • Upload malware, scrape seat inventory at scale, or attempt unauthorized access
  • Misrepresent events, prices, capacity, or payment status
  • Use Seatly to send spam or harassing communications
  • Resell or misuse Seatly access in a way that harms venues, guests, or the platform

We may suspend or terminate access for violations, fraud risk, unpaid fees, or to protect the Services and our users.

Intellectual property

Seatly and its logos, software, and design are owned by Seatly Inc. or its licensors. These Terms do not grant you ownership of Seatly intellectual property.

You retain ownership of content you upload (such as venue images and listing copy). You grant Seatly a worldwide, non-exclusive license to host, display, and process that content solely to operate and improve the Services.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Seatly disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that seat availability displayed at a given moment will remain available until checkout completes.

Limitation of liability

To the fullest extent permitted by law, Seatly and its directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of the Services.

Seatly's total liability for any claim relating to the Services will not exceed the greater of (a) the fees you paid to Seatly for the Services in the three months before the claim, or (b) USD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.

Venue operators are solely responsible for their events and guest experience. Guests should contact the venue for admission, refund, and show-related issues.

Indemnity

You agree to defend and indemnify Seatly against claims, damages, and expenses arising from your content, your events (if you are a venue operator), your misuse of the Services, or your violation of these Terms or applicable law.

Termination

You may stop using Seatly at any time. You may close a customer account or cancel a business workspace subject to any outstanding fees and data retention needs. Seatly may suspend or terminate access if you breach these Terms, fail to pay fees, or if we discontinue the Services. Some provisions (including liability limits, indemnity, and intellectual property) survive termination.

Governing law

These Terms are governed by the laws of Australia, without regard to conflict-of-law rules. Courts in Australia will have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer protections in your country provide otherwise.

Changes to these Terms

We may update these Terms from time to time. We will revise the effective date and may provide additional notice for material changes. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
